Consent to Remove Graffiti and Waiver

The undersigned property owner (the “Property Owner”) hereby authorizes the Downtown Norfolk Development Corporation, a Virginia nonstock corporation, d/b/a Downtown Norfolk Council (the “DNC”), and Mydatt Services, Inc., an Ohio corporation, d/b/a Block by Block (“BBB”), to remove or cause the cleaning or removal of graffiti from the building indicated below (the “Property”), using the method(s) specified below:

The Property Owner authorizes the DNC and BBB, and their respective agents, contractors, employees, volunteers, or officers, to enter onto the Property for the purpose of performing the graffiti removal services.

In performing the graffiti removal services, the DNC and BBB will not cover or otherwise protect existing exposed materials from the building and will use a graffiti cleaning and/or removal process that utilizes a standard and acceptable cleaner manufactured for such purposes. No sandblasting or harsh abrasives will be used in performing the graffiti removal services.

The DNC and BBB will use commercially reasonable to remove or cause the cleaning or removal of the graffiti as requested by Property Owner; however, the DNC and BBB make no representation or warranty as to the quality or success of the work performed related to the graffiti removal services.

The Property Owner assumes the risks related to the graffiti removal and agrees to waive and relinquish any and all claims that may result in any manner against the DNC or BBB, and their respective agents, contractors, employees, volunteers, or officers, except for acts or matters arising due to the willful and wanton misconduct of the DNC or BBB.

The Property Owner hereby agrees to indemnify and hold harmless the DNC and BBB, and their respective agents, contractors, employees, volunteers, or officers, from any and all claims, liabilities, legal actions, losses, expenses, or damages caused by, as a result of, or otherwise arising directly or indirectly out of the graffiti removal services provided on the Property by the DNC and BBB hereunder, except to the extent caused by the gross negligence or intentional misconduct of the DNC or BBB.

The undersigned represents that the Property Owner is the owner of the Property, and that the undersigned is authorized to act on behalf of the Property Owner and to execute this Consent to Remove Graffiti and Waiver on behalf of the Property Owner, and that no other signatures or consents are required on behalf of Property Owner with respect to the graffiti removal services.

This Consent to Graffiti Removal and Waiver shall be valid for a period of three (3) years from the date of execution by Property Owner.

THE UNDERSIGNED HAS READ AND FULLY UNDERSTANDS THE CONTENTS OF THIS CONSENT TO GRAFFITI REMOVAL AND WAIVER.
